1. Acceptance of Terms

By accessing or using YakaOne ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

YakaOne is a team management platform that allows users to create and manage teams, schedule events, communicate with team members, and track finances. The Service is provided free of charge.

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms or engage in behavior that we determine to be harmful to other users or the Service.

4. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Post or transmit any content that is abusive, threatening, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to send spam or unsolicited communications
• Collect or harvest any personally identifiable information from the Service
• Use the Service for any commercial purpose without our prior written consent

5. User Content

5.1 Ownership

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

5.2 Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all rights necessary to grant the licenses granted herein.

6. Team Management

6.1 Team Creation

Users who create teams ("Team Owners") have full administrative control over their teams, including the ability to invite members, assign roles, and delete the team.

6.2 Member Responsibilities

Team members agree to comply with any rules or guidelines established by their Team Owners, in addition to these Terms.

6.3 Team Data

When a team is deleted, all associated data (events, messages, member records) may be permanently deleted. Team Owners should export any necessary data before deletion.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of YakaOne and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by YakaOne. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YAKAONE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless YakaOne and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.
